1. Acceptance of Terms

By accessing or using Pods Clips ("Pods," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the platform. These Terms form a legally binding agreement between you and Pods. Pods is not an exchange, broker, dealer, investment advisor, or custodian. We provide software tools to facilitate content clipping, campaign participation, and tokenized rewards. We do not provide investment, tax, or legal advice.


2. Eligibility

To use Pods Clips, you must be at least eighteen (18) years old and legally capable of entering into a binding contract. You may not use the service if you are on any United States or international sanctions list (including, without limitation, the Office of Foreign Assets Control, the European Union, or the United Nations) or if you are otherwise barred by applicable law. United States users may earn up to five hundred ninety-nine dollars ($599) per year until a valid W-9 (for U.S. residents) or W-8BEN (for non-U.S. residents) is provided. We may suspend payments exceeding this cap until proper tax forms are submitted. By using the platform, you represent and warrant that all information provided to Pods is true, accurate, and complete.


3. Description of Services

Pods Clips provides tools that enable users ("Clippers") to create, edit, and submit clips from podcasts or other media, to participate in campaigns sponsored by creators, advertisers, or campaign managers ("Campaign Managers"), and to earn discretionary token rewards that are paid onchain in USDC on Base or in other supported tokens and blockchains.

Pods facilitates these campaigns but does not guarantee or administer payouts. All payments are the sole responsibility of the applicable Campaign Manager.


4. Payments and Earnings

All payouts occur onchain in USDC on Base or in other supported tokens and chains. No fiat payments are supported. Payments are discretionary in nature and require the approval of the Campaign Manager. You have no vested right to any earnings until such payments are approved and released. Pods may withhold, freeze, or claw back funds at its sole discretion if fraud, botting, abuse, or error is suspected. You are solely responsible for all applicable taxes. Pods does not withhold or remit taxes on your behalf.

We may, at our discretion, require you to submit tax forms, including W-9 or W-8BEN, before releasing certain payments. Pods may charge platform fees, which will be disclosed prior to payout.


5. Content and Intellectual Property

You retain ownership of the content you create and submit through the platform. By submitting content, you grant Pods a worldwide, royalty-free, sublicensable license to host, display, promote, distribute, and otherwise use your content in connection with the operation and promotion of the platform. You represent and warrant that you have the necessary rights to any content you submit and that such content does not infringe the intellectual property rights of any third party.

Pods complies with the Digital Millennium Copyright Act (DMCA) and other applicable laws and may remove allegedly infringing content or terminate accounts of repeat infringers.


6. Prohibited Conduct

You agree that you will not upload, distribute, or otherwise make available any infringing, unlawful, harassing, defamatory, obscene, or harmful content. You further agree not to use bots, automation, or other tools to manipulate rewards or submissions, to engage in fraud or spam, or to attempt to bypass Pods' anti-abuse systems. You may not interfere with the operation of the platform, attempt to gain unauthorized access, or use the service in violation of any applicable laws, including but not limited to laws relating to money laundering or securities regulation.

Pods reserves the right to suspend or terminate any account violating these rules and to forfeit any pending payments associated with fraudulent or abusive activity.


7. Fraud and Abuse Detection

Pods actively employs fraud detection systems, including automated tools, to identify invalid submissions. We may reject or remove any clip at our discretion, withhold or reclaim funds, or suspend and permanently ban users suspected of fraud or abuse.


8. Independent Contractor Status

All Clippers are independent contractors and not employees of Pods or of any Campaign Manager. You acknowledge and agree that you are not entitled to wages, employee benefits, or continued participation and that your use of the platform does not create an employment relationship.


9. Assumption of Risk

You acknowledge that there are inherent risks in the use of blockchain systems, including but not limited to token volatility, smart contract bugs, blockchain forks, loss of private keys, and the potential for downtime, resets, or non-payment during beta or ongoing operations. You agree that you use Pods Clips entirely at your own risk.


10. Limitation of Liability

Pods' total liability arising from or related to these Terms shall not exceed the greater of one hundred dollars ($100) or the total platform fees you paid in the six (6) months preceding the claim.

Pods shall not be liable for lost funds, lost earnings, hacks, third-party actions, or failed payouts by Campaign Managers. Pods makes no guarantees of uptime, security, or availability.


11. Termination

You may delete your account at any time, provided that any outstanding balances must be withdrawn before closure. Pods may suspend or terminate your account at any time for fraud, violation of these Terms, law enforcement requests, or any other reason in its discretion. Balances associated with fraudulent or abusive activity may be forfeited.


12. Modifications

Pods may modify these Terms at any time, and such modifications will take effect immediately upon posting. Your continued use of the platform constitutes acceptance of the modified Terms.


13. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States. Any dispute arising from or relating to these Terms shall be resolved through binding arbitration in Delaware under the Consumer Arbitration Rules of the American Arbitration Association. You agree to waive any right to a jury trial and to participate in any class action or representative proceeding. Disputes of a substantially similar nature that are filed in large numbers may be resolved through batch arbitration in groups of up to one hundred (100) cases for efficiency.


14. General Provisions

Pods shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including acts of God, war, terrorism, natural disasters, or technical failures. If any part of these Terms is held invalid, the remaining provisions shall remain in full force and effect. You may not assign these Terms without the prior written consent of Pods. You consent to receive notices and communications electronically. These Terms constitute the entire agreement between you and Pods regarding the subject matter herein.
